Obligations of Significant Shareholders

Pursuant to the AIM Italia Issuers' Regulations, Longino & Cardenal S.p.A. (the “Company”) must promptly disclose and make available to the public any Material Change communicated by Significant Shareholders regarding ownership structures. A Significant Shareholder is defined as anyone who holds at least 5% of a category of the Company's financial instruments.

Exceeding the 5% threshold and reaching or exceeding the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 35%, 40%, 45%, 50%, 66.6%, 75%, 90%, and 95% thresholds, or reductions below these thresholds, constitute, pursuant to the Transparency Regulations, a “Substantial Change” which must be communicated, pursuant to Article 15 of the Bylaws, by Significant Shareholders to the Company's Administrative Body.

In this regard, each Significant Shareholder must notify the Company, within five trading days from the date on which the transaction resulting in the Substantial Change was carried out, of the following information:

the identity of the Significant Shareholders involved;

  1. the date on which Longino & Cardenal S.p.A. was informed;

  2. the date on which the Substantial Change in shareholdings took place;

  3. the nature and extent of the Significant Shareholder's participation in the transaction.

The notification can be made using the form attached below, sent in advance by email to cristina.sambuchi@longino.it and subsequently sent in original form by registered mail with return receipt to the Company's registered office or by communication to the following certified email address longinoecardenal@pec.it
